It has become a fundamental and indispensable phase in the formation and interpretation of contractual terms, as it imposes legal obligations on each party during the negotiation process. Any breach of these obligations or failure to comply with them may give rise to civil liability, which may be either contractual or tortious, depending on the nature of the relationship and the circumstances surrounding the negotiations.
